This Pilot Agreement ("Agreement") is entered into between itligt ("Solvgent") and the customer entity ("Customer") identified on the Solvgent Account, an order form, or by accepting this Agreement at the start of a paid pilot subscription.
1. Parties and Incorporation
The Pilot Term is governed by this Agreement together with the Solvgent Terms of Service, the Privacy Policy, and the Data Processing Agreement, each of which is incorporated by reference. In any conflict between this Agreement and those documents on a pilot-specific matter, this Agreement controls.
2. Pilot Term
The pilot begins on the Pilot Start Date (the date the first invoice is paid or Customer's Account is upgraded to the pilot tier, whichever is earlier) and runs for three (3) consecutive months.

Billing. Pilot fees are billed monthly in advance via Stripe. Applicable taxes are additional. Failure to pay within the 7-day grace period entitles Solvgent to suspend the Account.
Currency. All amounts are in US dollars (USD).
4. Pilot Scope
During the Pilot Term, Customer receives:
- Up to 5 managed brands within the Account.
- Full feature access to the Solvgent platform at the Agency Pro tier, including AI content generation, the brand-brain feedback loop, approval workflow, scheduling, publishing to integrated Third-Party Platforms, analytics, and publicly available preview / beta features.
- Direct team access for onboarding and feedback (see Section 7).
- Priority support via hello@solvgent.com with a target initial response time of 1 business day.
Brand count above 5 incurs the standard per-brand overage fee under the Solvgent pricing schedule, or Customer may upgrade to the Enterprise tier.
5. Pilot Success Criteria
Within the first 14 days of the Pilot Term, the Parties will jointly define written, measurable success criteria on the onboarding call. Default starting criteria:
- Time to first published post: ≤ 7 days from Pilot Start Date for at least one brand.
- Approval cycle time reduction: ≥ 50% reduction in the median time from draft creation to approval, compared to Customer's pre-pilot baseline (Customer's self-reported baseline, captured at kickoff).
- Brand voice fidelity: By the end of month 2, Customer reports that AI drafts are "on-brand" without rewrites for at least 70% of generated posts (captured by the brand-brain accuracy dashboard).
Failure to meet the criteria does not itself terminate the Agreement or trigger any refund obligation, but both Parties commit to candid review at the end of months 1, 2, and 3 to assess whether the pilot is worth continuing.
6. Mutual Non-Disclosure
Each Party agrees to use the other's Confidential Information solely to perform under this Agreement and the Solvgent Terms of Service, protect it with at least the same degree of care it uses for its own confidential information (and no less than reasonable care), and restrict disclosure to need-to-know recipients bound by comparable obligations. Confidentiality obligations continue for two (2) years after the end of the Pilot Term or termination of this Agreement, whichever is later. Trade secrets remain protected as long as they qualify.
7. Feedback Obligation
In exchange for the pilot pricing, Customer agrees to engage in structured feedback during the Pilot Term:
- Cadence option A: a 30-minute scheduled call every two weeks with the Solvgent team.
- Cadence option B: asynchronous written feedback in response to Solvgent's questions, with a target response time of 5 business days.
Customer may choose either option at the start of the Pilot Term and may switch once during the pilot with written notice. Customer may opt out of further feedback with 7 days' written notice; doing so does not change the pilot pricing but Solvgent retains discretion to decline to extend the Early-Adopter Discount in Section 8 if the feedback obligation was materially unfulfilled.
8. Early-Adopter Lifetime Discount
If Customer:
- Completes the full 3-month Pilot Term without cancellation;
- Begins a paid Agency Pro (or higher) subscription on month 4; and
- Maintains an active paid subscription continuously,
Customer receives a 15% discount on the standard Agency Pro fee for life, locking the rate at USD 507 / month (a saving of USD 90 / month) for as long as the subscription remains active and uninterrupted.
The discount applies on a percentage basis if Customer later upgrades to a higher tier or downgrades to a lower tier, applied to the then-current standard rate of the chosen tier. It is forfeited if Customer's subscription lapses (more than 60 days without an active paid subscription) and is re-subscribed. The discount is not transferable to a different legal entity except in the event of merger, acquisition, or restructuring, subject to Solvgent's reasonable consent.
9. Data, Ownership, and Deletion
9.1 Ownership. Customer owns all Customer Content. Solvgent owns the Solvgent platform.
9.2 Processing. During the Pilot Term, Solvgent processes Customer Content as a processor on Customer's behalf, on the terms of the DPA.
9.3 Deletion. Upon written request by Customer at any time during or after the Pilot Term, Solvgent will: disable Customer's access to the Service; delete Customer Content from production systems within 30 days; and confirm deletion in writing on request. Backup data continues to age out in the 30-day rolling backup-rotation window.
10. Termination and End of Pilot
10.1 Termination for Convenience. Either Party may terminate this Agreement on 14 days' written notice during the Pilot Term, without penalty. Solvgent will refund the unused pro-rated portion of any pre-paid pilot fee.
10.2 Termination for Cause. Either Party may terminate immediately on written notice for an uncured material breach (30-day cure) or insolvency event.
10.3 End of Pilot Reversion. On the final day of the Pilot Term, the Account is automatically converted to the Agency Pro standard tier at USD 597 / month (or USD 507 / month if the Early-Adopter Discount in Section 8 has been triggered). Customer may downgrade or cancel at any time before 7 days prior to the Pilot Term end date via the in-app billing portal or hello@solvgent.com.
11. Service Level (Pilot)
During the Pilot Term, Solvgent uses commercially reasonable efforts to maintain a monthly uptime of 99.5%, measured on the application portal (solvgent.app) excluding scheduled maintenance windows. No SLA credit is offered during the Pilot Term; in the event of a documented, sustained outage greater than 4 hours in any 30-day period, Customer may request a pro-rated extension of the Pilot Term at the same pilot pricing.
12. Limitation of Liability
The limitation of liability in Section 11 of the Solvgent Terms of Service applies, with the liability cap calculated based on fees paid under this Agreement.
13. Reference Rights (Opt-In Only)
Solvgent may identify Customer as a pilot customer on solvgent.com and in marketing materials (logo + 1-sentence quote) only with Customer's express prior written approval. Customer may revoke approval at any time on written notice; Solvgent will remove the reference from active publication within 30 days.

15. Governing Law and Disputes
This Agreement is governed by the laws of the State of Utah, USA. Dispute resolution follows Section 14 of the Solvgent Terms of Service (informal resolution, AAA arbitration in Salt Lake City, Utah, with EU consumer-protection carve-outs).
16. Entire Agreement
This Agreement, together with the Terms of Service, Privacy Policy, DPA, and Sub-processor List, is the entire agreement between the Parties regarding the pilot.
Pilots are typically activated by clickwrap acceptance during pilot signup, by signing a one-page order form by email, or via DocuSign. Solvgent will send a confirmation with the Pilot Start Date once the first invoice is paid.
